AFFILIATE PROGRAM AGREEMENT

This Affiliate Program Agreement ("Agreement") sets the terms under which OMAX GROUP LTD ("OMAX", "we", "us"), 71 75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom, offers participation in the Tourlink Affiliate Program (the "Program"). By enrolling, you (the "Affiliate", "you") accept this Agreement and agree to comply with:

• Tourlink e SIM Terms & Conditions,
• Tourlink Privacy Policy & Cookie Policy, and
• Any guidelines we publish for the Program.

1 Program Overview

1.1 Purpose & Method. Affiliates promote Tourlink e SIM packages by sharing a unique QR code, referral link (URL), or alphanumeric referral code. Each identifier is mapped to your Affiliate ID.

1.2 Revenue Share. For every eligible e SIM package purchased using your code, you earn a 10 % commission on Net Revenue (package price – discounts – VAT/GST – refunds – chargebacks).

1.3 Attribution Window. Because referrals are code based (not cookie based), the purchase must include your valid code at checkout. No post purchase attribution is possible.

1.4 Payout Schedule. Commissions accrue during a calendar month M and become payable 30 days after the end of month M (to allow for refunds/chargebacks). Minimum payout threshold: €20.

2 Affiliate Eligibility & On Boarding

2.1 You must be ≥ 18 years old and have legal capacity. Organisations must designate an authorised representative.

2.2 We may request KYC information (ID / company docs) before activating payouts.

2.3 We may accept or reject applications at our sole discretion.

3 Affiliate Obligations

3.1 Conduct & Compliance

(a) Promote Tourlink honestly, without misleading claims.

(b) Disclose the commercial nature of your referral (e.g. "We may earn a commission if you buy via this QR").

(c) Comply with all applicable laws (consumer protection, fair trading, privacy, advertising).

(d) Use only OMAX supplied or approved creative assets (logos, copy, QR frames).

(e) Provide prompt customer redirection to official Tourlink support; do not offer unofficial support or handle complaints yourself.

3.2 Prohibited Practices

(i) Trademark bidding on "Tourlink", "OMAX" (or variations) in search engine ads.

(ii) Misuse of OMAX/Tourlink logos in a way that suggests you are OMAX.

(iii) Spam e mail, SMS or social posts, or any unsolicited mass messaging.

(iv) Coupon/discount abuse, fake offers, or presenting expired promotions.

(v) Cookie stuffing, click jacking, or technical measures to hijack attribution.

(vi) Offensive, deceptive, or illegal content in conjunction with the Program.

(vii) Framing tourlink.me or altering checkout pages.

Failure to comply may result in reversal of commissions and immediate termination (see §7).

4 Commission Details

4.1 Currency. All financial calculations are in EUR. If your payout method requires another currency, conversion is performed by our payment processor at its spot rate; fees are borne by you.

4.2 Refunds & Chargebacks. Commissions on any order that is refunded, voided, or flagged as fraudulent within the 30 day reconciliation window are reversed (max reversal 100 %).

4.3 Self Purchase. Purchases by the Affiliate (or its owners/employees) for personal use earn no commission unless pre approved.

4.4 Threshold & Method. When your payable balance ≥ €20, we pay via the method set in your dashboard (SEPA bank transfer, PayPal, or other options we list). You are responsible for accurate payout details.

4.5 Taxes. Commissions are gross amounts incl. VAT where applicable. You are responsible for declaring and paying any taxes due in your jurisdiction. If VAT applies to your service as Affiliate, you must provide a valid VAT invoice; otherwise, the commission is treated under reverse charge (where permissible).

4.6 Right to Withhold. OMAX may suspend or withhold commissions (in whole or part) if it reasonably suspects fraud, prohibited conduct, or material breach of this Agreement, pending investigation.

5 Intellectual Property

OMAX retains all rights in Tourlink trademarks, content and technology. We grant you a revocable, non exclusive licence to display Tourlink trademarks solely to promote the Service under this Agreement. You must follow any brand guidelines we provide and cease use upon termination.

6 Confidentiality & Data

6.1 Any non public information we provide (dashboards, conversion stats, traveller data) is Confidential Information. You must keep it secret and use it only for this Program.

6.2 You must process any personal data of Travellers strictly in line with data protection laws and OMAX Privacy Policy; typically you should not store or process Traveller data outside Tourlink systems.

7 Term & Termination

7.1 Term. This Agreement starts when we approve your application and continues until terminated.

7.2 Your Termination. You may terminate at any time by written notice or by de activating your affiliate account.

7.3 Our Termination. We may terminate or suspend the Program, or your participation, at any time with 7 days' notice, or immediately for cause (fraud, breach, reputational harm).

7.4 On termination you must cease using Tourlink marketing assets and codes. We will pay any earned, non disputed commissions ≥ €20 that are still valid after the 30 day reconciliation period.

8 Limitation of Liability

To the fullest extent permitted by law, OMAX is not liable for indirect, incidental or consequential loss. OMAX's total liability under this Agreement shall not exceed the commissions paid to you in the preceding 6 months.

9 Relationship of Parties

You are an independent contractor. Nothing in this Agreement creates an employment, agency or joint venture relationship. You may not bind OMAX to any obligation.

10 Governing Law & Dispute Resolution

This Agreement is governed by the laws of England & Wales. Courts of London have exclusive jurisdiction, unless mandatory consumer protection rules give jurisdiction elsewhere.

11 Changes to the Program

We may update Program terms by posting a revised Agreement and emailing Affiliates. Changes take effect 7 days after notice. Continued participation after that date constitutes acceptance. If you disagree, you may terminate before the new terms take effect.
